Affiliate Agreement

This agreement describes the terms and conditions for participation in the Logic Path affiliate program. The terms "Affiliate," "you," and "your" are referring to you, the applicant. "We" and "our" refer to the Logic Path Affiliate Program. We are independent parties and this agreement will not form any official partnership.

Please read this agreement carefully before registering and using the Logic Path service as an affiliate. By signing up for the Logic Path affiliate program, you indicate your acceptance of this agreement and its terms and conditions.


Agreement Duration

This agreement will begin upon our acceptance of your affiliate application and will end when terminated by either party. Termination may happen at any time, with or without cause, by giving the other party written notice of termination.


Modification

By posting a Change Notice or a new agreement on this site, we may modify any of the terms and conditions within this Agreement at any time and at our sole discretion. These modifications may include, but not limited to, changes in the scope of available referral fees, fee schedules, payment procedures and Program rules. If any of the modifications are unacceptable to you, your only recourse is to terminate this Agreement. If you continue to participate in the program following the posting of a Change Notice or new agreement, it will be considered as your acceptance of the change.


Commissions

Each affiliate will receive 20% of the revenue as a commission from orders placed through our website from visitors that linked to our website through their specific affiliate code. The affiliate will continue to receive this same percentage as a recurring payment for each month that the referral remains as a paying customer.

Additionally, each affiliate will receive 5% for orders placed through the Logic Path affiliate program of those sub-Affiliates which they have sponsored into the program. In order to qualify for commissions on sub-affiliate sales in any given month, an affiliate must personally sell at least one order during that same month.

For a sale to generate a commission to an affiliate, the referred customer must complete the order form and remit full payment for the service ordered. Commissions will be paid on the 1st of each month by Paypal. Any returned checks, chargebacks, or fees from a returned order will be adjusted in the following fee payment. If no fee payment is due a billing invoice for the amount will not be issued.


Order Processing

Logic Path will be solely responsible for processing every order placed by a customer through the affiliate program. Customers who purchase services through the Logic Path affiliate program will be deemed to be customers of Logic Path. Prices and availability of our services may vary from time to time. Logic Path’s policies will always determine the price paid by the customer. We reserve the right to reject any order that does not comply with our rules, operating procedures and policies.


Website Restrictions

Logic Path reserves the right not to accept any website into the affiliate program based on the website content. For example, sites that include:

• X-rated or the promotion of sexually explicit materials.
• The promoting of violence and discord.
• The promoting of discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• The promoting of illegal or questionable activities.
• The violation of intellectual property rights.

Spam or Unsolicited Commercial Email (UCE)

Logic Path in no way participates in mass unsolicited emailing (i.e. spamming), and all affiliates are expected to adhere to this policy. Violation of this policy will result in the termination of this Agreement and immediate dismissal from the Logic Path Affiliate Program. Any affiliate terminated for this reason will forfeit all future commission payments.


Disclaimer

We make no express or implied warranties or representations with respect to the Logic Path affiliate program or your potential to earn income from the program. In addition, we make no representation that the operation of our website will be uninterrupted or error-free and we will not be liable for the consequences of any interruptions or down time.


Miscellaneous

• You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Merchant.com. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your website or any other location, that reasonably would contradict anything in this Section.
• Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party.
• This Agreement shall be governed by and interpreted in accordance with the laws of the United States and the Commonwealth of Virginia without regard to the conflicts of laws and principles thereof. Any action relating to this Agreement must be brought in the Federal or State courts located in Loudoun County, Virginia, and you irrevocably consent to the jurisdiction of such courts.
• You may not amend or waive any provision of this Agreement unless in writing and signed by both parties.
• This Agreement represents the entire agreement between us and you, and shall supersede all prior agreements and communications of the parties, oral or written.
• If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.
• Our failure to enforce the strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.

By submitting this Affiliate Agreement form, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not relying on any representation, guarantee, or statement other than as set forth in this agreement.
